1. Agreement

   These Terms and Conditions (“Terms”) govern your access to and use of the services provided by DV8 SOLUTIONS LLC (“DV8”, “we”, “our”, or “us”), a Wyoming-registered limited liability company. By engaging our services or visiting our website, you accept and agree to be bound by these Terms.

2. Scope of Services

   DV8 provides business and IT consulting, including cloud solutions, digital transformation, and strategic IT services. Specific service terms are outlined in individual proposals, Statements of Work (SOW), or contracts.

3. Client Obligations

   Clients must:

   Provide accurate and complete information for service delivery

   Cooperate and respond in a timely manner

   Comply with any legal or regulatory requirements related to their own operations

4. Fees & Payment

   Fees are specified in individual contracts or SOWs. Payments are due within the agreed time frame, and late payments may incur interest charges.

5. Intellectual Property

   All intellectual property, methodologies, documents, and content provided by DV8 remain our exclusive property unless otherwise agreed in writing. You are granted a non-exclusive license to use deliverables for internal business use.

6. Confidentiality

   Both parties agree to keep confidential all non-public, proprietary information exchanged during the term of the engagement, including business processes, client data, and project details.

7. Limitation of Liability

   DV8 will not be liable for indirect, incidental, or consequential damages. Our maximum liability is limited to the total fees paid for the service giving rise to the claim.

8. Termination

   Either party may terminate services with notice as defined in the contract or SOW. Upon termination, outstanding fees remain payable, and all confidential information must be returned or destroyed.

9. Governing Law

   These Terms are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any disputes shall be resolved in courts located in Wyoming, USA.

10. Updates

    We may update these Terms periodically. Continued use of our services implies acceptance of the updated Terms.
